The Legal Specialist – Subsidiary Governance is responsible for assisting in all corporate record-keeping functions for all subsidiaries of a dynamic public company, including mergers, dissolutions, incorporations, resolutions, and annual reports, while maintaining a database of information related to such subsidiaries. In addition, the position will be required to provide assistance with certain of the public company’s day-to-day corporate governance and compliance activities, such as coordinating meetings of the Board of Directors and assisting with SEC and NYSE compliance projects. This position will require interaction with senior executives, outside counsel and business unit personnel.
How You'll Shine:
- Subsidiary Governance – Assist in the day-to-day operations of over 290 subsidiaries, including planning, coordinating, and producing Board and Committee meetings and related activities. Prepare and maintain corporate records, draft resolutions, written consents, and minutes. Support all aspects of subsidiary operations and compliance, including preparation and coordination of annual reports, “doing business as” filings, and other legal and regulatory filings. Assist with the formation and dissolution of subsidiaries as needed. Respond to daily ad hoc assignments and resolve issues from the Director, Assistant Corporate Secretary, and Business Unit personnel. Maintain accurate subsidiary data in tracking systems and coordinate with International Corporate Secretary functions as required.
- Treasury and Business Operations – Assist in preparation of legal groundwork for Company’s senior debt program and Asset-Back Securities (ABS) transactions (three transactions per year).Prepare and respond to domestic and international Know Your Customer (KYC) requests. Assist in preparation of day-to-day legal compliance with banking, treasury and tax regulations.
- Corporate Structure Chart and Legal Due Diligence – Assist with the preparation and quarterly updates of the Company’s corporate structure chart. Respond to ad hoc requests for legal due diligence materials and information as needed.
- Provide assistance with various corporate governance, and compliance matters, including insider trading compliance, and preparation for the annual meeting. Support the coordination and preparation of materials for the Board of Directors and committee meetings as needed.
Travel Requirements
- Minimal travel to requirements. This position may require up to 5% travel to support meetings or obtain signatures on documents.
What You'll Bring:
- Minimum of 5 years corporate legal experience.
- Undergraduate degree or Paralegal certificate required.
- Paralegal certificate preferred.
- Previous subsidiary governance experience required.
- Exceptional interpersonal, facilitative, analytical and organizational skills. Ability to work with all levels of management and the Board of Directors.
- Experience with corporate secretary and governance database software preferred.
Experience equivalent to the education requirement may be accepted in lieu of the education requirement.
